LEGAL FORUM, CHOICE OF LAWS & OFFICIAL LANGUAGE

This  offering is a contract between you (the "buyer") and IridescentZeal (the "seller"). The seller is located in Haarlem, The Netherlands and by doing business with IridescentZeal, you agree that this offering is made from Haarlem, The Netherlands and shall be governed by the Dutch law. By electing to participate in this offer, you are entering into a contract. This Agreement shall be governed by and construed in accordance with Dutch law, without regard to its conflict of laws rules. Any legal action arising out of this Agreement shall be litigated and enforced under Dutch law. In addition, you agree to submit to the jurisdiction of Dutch courts, and that any legal action pursued by you shall be within the exclusive jurisdiction of the courts in the Netherlands. The terms constituting this offering are set forth in documents enclosed following any engagements with IridescentZeal. You hereby agree to submit to the jurisdiction of Dutch Courts located in the Netherlands to resolve any disputes or litigation hereunder. Whether or not you choose to print this offering,  containing the T&C as described herein, you agree that  this contract constitutes a writing. This agreement is being  written in English, which is to be the official language of the contract's text and interpretation. If you do not agree with the above T&C, you have the option to not participate in this offer.

You agree to cooperate with IridescentZeal  in  causing any unauthorized co-branding, framing or hyper-linking immediately to cease.

IridescentZeal will not be required to treat any Submission as confidential, and may use any Submission in its business (including without limitation, for products or advertising) without incurring any liability for royalties or any other consideration of any kind, and will not incur any liability as a result of any similarities that may appear in future operations. IridescentZeal will  treat any personal information that you submit through this site in  accordance with its Privacy Statement as set forth on this Site.

INDEMNITY

You will indemnify and hold IridescentZeal, its content providers, service providers and contractors (hereinafter known as the "Indemnified Parties") harmless  from any breach of these T&C by you, including any use of Content other than as expressly authorized in these T&C. You agree that the Indemnified Parties will have no liability in connection with any such breach or unauthorized use, and you agree to indemnify any and all resulting loss, damages, judgments, awards, costs, expenses, and attorney's fees of the Indemnified Parties in connection therewith. You will also indemnify and hold the Indemnified Parties harmless from and against any claims brought by third parties arising out of your use of the information accessed from this Site.

These T&C will be governed and interpreted pursuant to the laws of  Victoria, notwithstanding any principles of conflicts of law. You specifically consent to personal jurisdiction in The Netherlands in connection with any dispute between you and IridescentZeal arising out of these T&C or pertaining to the subject matter hereof. The parties to these T&C each agrees that the exclusive venue for any dispute between the parties arising out of theseT&C or pertaining to the  subject matter of these T&C will be in the state and federal courts in the Netherlands. If any part of these T&Ce is unlawful, void or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of any remaining provisions. These T&C constitute the entire agreement among the parties relating to this subject matter. Notwithstanding the foregoing, any additional T&C on this Site will govern the items to which they pertain. IridescentZeal may revise these T&C at any time by updating this posting.
